Welcome to Countify. These Terms of Service ("Terms") govern your access to and use of the Countify platform, including our website, applications, and AI-powered microscopy analysis services (collectively, the "Service"), provided by Countify Bio ("Countify," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Countify provides an AI-powered platform for microscopy image analysis, including but not limited to:

  • Automated counting and detection of biological specimens
  • Image annotation and analysis tools
  • Project and experiment management
  • Data export and reporting features

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or at our discretion for any reason.

4. Acceptable Use

You retain all rights to the images, data, and content you upload to the Service ("Your Content"). Countify does not claim ownership of Your Content.

5.2 License Grant

By uploading Your Content, you grant Countify a limited, non-exclusive license to process, analyze, store, and display Your Content solely for the purpose of providing the Service to you.

5.3 Responsibility

You are solely responsible for Your Content and represent that you have all necessary rights to upload and use it with our Service.

6. Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by Countify and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless applicable laws prohibit these restrictions.

7. Usage Limits and Subscriptions

The Service may include usage limits based on your subscription plan. Free accounts are limited to a specified number of analyses. Additional capacity may be obtained by upgrading your subscription.

We reserve the right to modify pricing, features, and usage limits at any time with reasonable notice to affected users.

8. AI Analysis Disclaimer

Our AI-powered analysis tools are designed to assist with microscopy image analysis. However, you acknowledge and agree that:

  • AI analysis results are provided as-is and may contain errors
  • Results should be reviewed and validated by qualified researchers
  • Countify does not guarantee the accuracy of AI-generated counts or detections
  • The Service is a tool to assist research, not a replacement for professional judgment
  • Critical decisions should not rely solely on automated analysis

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COUNTIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Countify and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may export your data prior to termination. After termination, we may delete your data in accordance with our data retention policies.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in the United States.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
